These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Glintock Industrial Ltd, a registered business operating from 10180 101 St NW, Edmonton, AB T5J 3S4, Canada (VAT: 710682945 RT 0001) ("Company," "we," "us," or "our").
By accessing our website, requesting a quote, placing an order, or engaging our services, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you must cease using our services immediately.
Glintock Industrial Ltd provides precision metalwork services including but not limited to fabrication, welding, machining, custom metal components, and industrial manufacturing. All services are provided in accordance with Canadian industry standards and Alberta workplace regulations.
Service specifications, delivery timelines, and pricing are confirmed in writing via quote, purchase order, or service agreement. Any variations from the agreed specification must be approved in writing before work commences.
All quotations provided by Glintock Industrial Ltd are valid for 30 days unless otherwise stated. Quotations are non-binding estimates and subject to final confirmation upon receipt of a purchase order or signed service agreement.
Upon acceptance of a quotation and payment of any required deposit, a binding contract is formed between you and Glintock Industrial Ltd. We reserve the right to refuse any order or request that we determine cannot be safely or professionally completed.
All orders must include clear specifications, drawings, or technical documentation. The Client is responsible for ensuring accuracy of all provided specifications.
Pricing is quoted in Canadian dollars (CAD) unless otherwise specified. Quotations do not include GST/HST unless explicitly stated as inclusive. The Client is responsible for applicable sales taxes.
Payment terms are Net 30 days from invoice date unless otherwise agreed in writing. A deposit of 50% is required upon order confirmation, with the balance due upon completion or delivery. Late payments may incur a 1.5% monthly interest charge.
We accept payment via bank transfer, credit card, cheque, or other methods as arranged. Invoices are issued upon project completion or delivery.
Delivery timelines provided are estimates and subject to change due to unforeseen circumstances, material delays, or technical challenges. Glintock Industrial Ltd is not liable for delays beyond our reasonable control.
Unless specifically contracted, delivery is FOB our facility in Edmonton, Alberta. The Client is responsible for arranging and paying for transportation unless otherwise agreed in writing.
If installation services are contracted, the Client must provide safe access to the installation site and ensure compliance with all applicable workplace safety regulations.
Glintock Industrial Ltd warrants that all work will be performed in a professional and workmanlike manner in accordance with industry standards and the agreed specifications. All materials will be new and fit for their intended purpose unless otherwise specified.
A warranty period of 12 months from delivery applies to manufacturing defects. This warranty does not cover normal wear and tear, misuse, improper installation, lack of maintenance, or damage caused by the Client or third parties.
To claim warranty coverage, the Client must notify Glintock Industrial Ltd in writing within 14 days of discovering any defect. We reserve the right to repair or replace defective items at our discretion.
Any requested changes to specifications, materials, or scope of work must be submitted in writing and approved by Glintock Industrial Ltd before proceeding. Changes may result in additional costs and revised delivery timelines.
Cancellations or scope reductions requested after work has commenced may be subject to charges for materials and labor already incurred.
All designs, drawings, documentation, and intellectual property created by Glintock Industrial Ltd remain our property unless otherwise agreed in writing. Clients receive a license to use the finished product for their intended purpose only.
Clients grant Glintock Industrial Ltd the right to use completed projects for marketing, portfolio, and business development purposes unless confidentiality has been explicitly agreed upon in writing.
Glintock Industrial Ltd's total liability for any claim, loss, or damage arising from these Terms or our services is limited to the total amount paid by the Client under the relevant contract or agreement.
We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, business opportunity, or data, even if advised of the possibility of such damages.
The Client agrees to indemnify and hold harmless Glintock Industrial Ltd from any claims, liabilities, damages, or costs (including legal fees) arising from the Client's use of our products or services, breach of these Terms, or violation of applicable laws.
The Client is responsible for ensuring that any custom or specialized products are used in compliance with all applicable federal, provincial, and municipal regulations. Glintock Industrial Ltd provides products as manufactured per specification but does not warrant suitability for specific regulated applications.
If your project is subject to certification, testing, or regulatory approval (e.g., CSA, PED, ASME), this must be specified at the quotation stage. Additional costs and timelines will apply.
The Client has 5 business days from delivery to inspect goods and report any defects or non-conformities. Failure to report issues within this period constitutes acceptance of the product.
Rejected goods must be held for inspection. If rejection is determined to be without valid cause, Glintock Industrial Ltd reserves the right to charge for re-inspection and restocking.
Both parties agree to maintain confidentiality regarding proprietary information shared in relation to service contracts. This does not apply to information that is publicly available or required to be disclosed by law.
Glintock Industrial Ltd may use Client names and project descriptions for portfolio and marketing purposes unless confidentiality has been expressly requested and agreed to in writing.
Personal information collected during quotation, ordering, or service delivery is processed in accordance with our Privacy Policy and applicable Canadian privacy legislation (PIPEDA).
By engaging our services, you consent to the collection and processing of necessary personal and business information for contract fulfillment, billing, and business communication purposes.

In the event of a dispute, both parties agree to attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be subject to binding arbitration or mediation as agreed upon by both parties.
These Terms and all agreements related to services provided by Glintock Industrial Ltd are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles.
All claims or actions arising from these Terms or services must be initiated within 2 years from the date the cause of action arose, or they shall be forever barred.
Glintock Industrial Ltd is not liable for failure to perform services due to causes beyond reasonable control, including but not limited to natural disasters, pandemics, war, government action, supply chain disruptions, or labor strikes. In such circumstances, timelines will be extended and costs may be adjusted.
Glintock Industrial Ltd reserves the right to suspend or terminate services if the Client fails to pay invoices, violates these Terms, or engages in conduct we determine to be unsafe, unethical, or unlawful.
Upon termination, the Client remains liable for all work completed and expenses incurred up to the termination date.
Glintock Industrial Ltd reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after amendments constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
